1. General information

This document sets out the terms and conditions for the use of the website xnkmedia.ro and of the services offered under the XNK Media brand by ECO START ELECTRIC RENT SRL (hereinafter referred to as the "Provider").

By accessing and using our site, you agree to these terms and conditions in their entirety. If you do not agree with any of these provisions, please do not use the site.

2. Definitions

• "Provider": XNK Media, the agency that supplies the video production, photography and content marketing services.
• "Client" / "Beneficiary": the natural or legal person who orders and uses the Provider's services.
• "Services": all video production, photography, drone filming, editing, social media content, livestream and creative consultancy services offered by the Provider.
• "Project": the work or set of works agreed between the Provider and the Client.
• "Site": the xnkmedia.ro website and all its related pages.
• "Content": raw footage, photographic materials, edited videos, reels, graphics, design and any other materials created by the Provider.

3. Services

XNK Media offers the following categories of services:

• Production of reels and content for Instagram, TikTok, YouTube Shorts
• Event filming and photography (weddings, conferences, launches, festivals)
• Drone filming (AACR-licensed pilot)
• Product photography (packshot, lifestyle, ecommerce)
• Corporate productions (TVC, employer branding, case study, explainer)
• Multicam livestream to multiple platforms
• Video editing and cinematic color grading
• Monthly subscriptions for creators and brands
• Content strategy and storytelling consultancy

Every project is preceded by a free initial consultation during which the requirements, deadlines and costs are established. The detailed technical specifications are set out in a separate commercial offer or contract.

The Provider reserves the right to refuse projects that contravene the legislation in force or the company's values.

4. The work process

The collaboration takes place in the following stages:

1. Consultation and brief: Free initial discussion, analysis of the communication objectives, definition of the format.
2. Offer and contract: Presentation of the commercial offer, negotiation, signing of the contract.
3. Pre-production: Treatment, shot list, location scouting, casting, approval by the Client.
4. Filming / photo session: The actual production day, according to the approved plan.
5. Post-production: Editing, color grading, sound design, motion graphics, subtitles.
6. Revisions: Implementation of the Client's feedback (according to the number of revisions included, usually two rounds).
7. Delivery: Export in the agreed formats (master, social cuts 9:16/1:1/16:9), transfer via a private link.
8. Archiving: Raw materials are kept for 90 days; on request, handover on a hard disk.

The Client undertakes to provide in due time all the necessary materials (brief, logos, products for filming, access to the location, guest list). Delays caused by the Client may result in an extension of the delivery deadline.

5. Payments

The method of payment is established in the individual contract/commercial offer. As a general rule:

• Advance payment: 40% of the total project value is paid upon signing the contract.
• Intermediate installment: 30% is paid upon delivery and approval of the design.
• Final balance: 30% is paid upon completion and launch of the project.

Payment can be made by bank transfer. Tax invoices are issued in accordance with the Romanian legislation in force.

The prices displayed on the site are indicative and do not constitute a firm offer. The final price is established following the consultation and depends on the complexity of the project.

In the event of late payment, the Provider may suspend the works until the financial situation is regularized, without being deemed in default with regard to the delivery deadline.

6. Intellectual property

Intellectual property rights are transferred as follows:

• All intellectual property rights in the delivered works are transferred to the Client after full payment of the agreed price.
• Until full payment is made, all the materials created remain the property of the Provider.
• The Provider reserves the right to use the project in its own portfolio and in marketing materials, unless the Client expressly requests otherwise.
• The finished materials delivered (videos, edited photographs) become the property of the Client upon full payment.
• Music licenses, fonts, stock footage and other third-party resources remain subject to their original licensing terms; the Client receives only the right to use them within the project.
• Image rights for the people appearing in the footage are obtained through a signed model release; the Client is responsible for observing them in any subsequent use.

The content of the xnkmedia.ro website (texts, design, logo, graphics) is the property of XNK Media and is protected by copyright law. Reproduction without written consent is prohibited.

7. Warranties

XNK Media provides the following warranties:

• Two rounds of feedback included: Revisions on the edit, grading and sound, in line with the approved brief.
• Compliance: The production will be delivered in accordance with the treatment and shot list approved by the Client.
• Redundancy in the field: At least two cameras, audio backup, dual cards. We film so we never miss the moment.
• Technical quality: Deliverables in resolutions and codecs that meet the standards of the destination platforms.
• Licenses in order: Music, fonts and stock with a valid commercial license, zero strikes on YouTube or Instagram.

The warranty does not cover:

• Changes requested by the Client that are not part of the initial brief (treated as extra scope and invoiced separately).
• Issues caused by materials supplied by the Client (low-quality logos, raw footage from third parties).
• Force majeure situations affecting the shooting day (extreme weather conditions, event cancellations).
• Use of the materials outside the agreed purpose (e.g. reuse in another project without consent).

8. Limitation of liability

The Provider shall not be liable for:

• Loss of revenue or profit resulting directly or indirectly from the use of the services.
• Interruptions or cancellations caused by external factors (extreme weather conditions, drone flight restrictions, cancellations by the event organizer).
• Content supplied by the Client and published on the website.
• Improper use of the delivered products by the Client.

The Provider's total liability is limited to the value of the contract for the project concerned.

9. Confidentiality

Both parties undertake to keep confidential the information received during the collaboration, including but not limited to:

• Business and financial information
• Access data (credentials, passwords, API keys)
• Business and marketing strategies
• Technical data and system architectures
• Any information marked or communicated as confidential

The confidentiality obligation remains in force for 2 (two) years after the end of the collaboration.

10. Personal data protection (GDPR)

XNK Media complies with the General Data Protection Regulation (GDPR, Regulation (EU) 2016/679).

Data collected

Through the website and the contact forms, we may collect:

• First and last name
• Email address
• Phone number
• Information about the project and the service required
• Anonymous browsing data (through cookies)

Purpose of processing

Personal data is processed exclusively for the purpose of:

• Responding to inquiries and requests for service quotes
• Performing the service agreements
• Communicating with the Client throughout the project
• Improving our services and the experience on the website
• Complying with legal obligations

Your rights

Under the GDPR, you have the following rights:

• The right of access to your personal data
• The right to rectification
• The right to erasure ("the right to be forgotten")
• The right to restriction of processing
• The right to data portability
• The right to object
• The right to lodge a complaint with ANSPDCP

Personal data is stored safely on secure servers and is not shared with third parties, except in the cases provided by law.

11. Termination of the contract

The contract may be terminated under the following conditions:

• By mutual agreement: Through the written agreement of both parties.
• By the Client: With 15 days of advance notice. Amounts already paid for work performed are non-refundable. The Client will pay for the work carried out up to the termination date.
• By the Provider: In the event that the Client fails to meet its payment obligations, after written notice given 30 days in advance.

In the event of termination, the Provider will deliver to the Client all materials and work completed up to that point, in proportion to the payments made.

12. Force majeure

Neither party shall be liable for failure to fulfill its contractual obligations if this is caused by force majeure events, as defined by Romanian law. The affected party shall notify the other party within 5 business days of the occurrence of the force majeure event.

13. Use of the website

By using the xnkmedia.ro website, you undertake to:

• Not use the website for illegal or unauthorized purposes.
• Not attempt to disrupt the normal operation of the website.
• Not collect the personal data of other users.
• Not reproduce the website content without prior written consent.
• Provide correct and complete information through the contact forms.

We reserve the right to restrict access to the website for users who breach these rules.

14. Applicable law and disputes

These terms and conditions are governed by the laws of Romania. Any dispute between the Provider and the Client will be settled amicably.

If an amicable settlement cannot be reached, the dispute will be settled by the competent courts of Romania.

15. Changes to the terms

XNK Media reserves the right to amend these terms and conditions at any time. Changes take effect on the date they are published on the website. Continued use of the website after the changes are published constitutes acceptance of them. We recommend that you check this page periodically.
